Terms of Service

Please read these Terms of Service carefully before using the 1Layer platform. They set out the basis on which we provide our services and what we expect from you as a user.

1. Agreement to Terms

By accessing or using the 1Layer platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users of the Service, including without limitation clients, partners, and anyone who accesses the platform in any capacity.

2. Description of Service

1Layer provides a payments intelligence platform that ingests, normalises, and reconciles settlement files, fee data, and bank feeds from multiple payment rails and acquirers. The Service surfaces breaks, anomalies, and investigations, and provides operational reporting and audit tooling for payments operations, finance, treasury, and compliance teams.

3. Access and Accounts

Access to the Service is granted on an invitation or contract basis. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately at hello@1layer.app if you suspect any unauthorised use of your account. We reserve the right to suspend or terminate access where we have reason to believe these Terms have been breached.

4. Data and File Ingestion

You retain full ownership of all data and files you provide to 1Layer. By submitting data to the Service, you grant 1Layer a limited, non-exclusive licence to process, parse, and store that data solely for the purpose of delivering the Service to you. We do not use your data to train machine learning models, sell insights to third parties, or share your data with any party other than those described in our Privacy Policy.

5. Acceptable Use

You agree not to misuse the Service. Prohibited conduct includes but is not limited to: attempting to gain unauthorised access to any part of the Service or its infrastructure; introducing malicious code or interfering with the Service's operation; using the Service for any unlawful purpose; or reverse engineering any part of the platform. We reserve the right to investigate and, where appropriate, report breaches to relevant authorities.

6. Intellectual Property

The Service, including all software, interfaces, content, and documentation, is owned by 1Layer and is protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it as described herein. Feedback you provide about the Service may be used by 1Layer without restriction or obligation to you.

7. Confidentiality

Both parties agree to keep confidential any non-public information received from the other in connection with the Service. This obligation survives termination of these Terms. 1Layer treats all client data, file contents, and configuration as strictly confidential and does not disclose this information except as required by law or as necessary to provide the Service.

8. Availability and Support

We aim to maintain high availability of the Service but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance where possible. Support is provided via email at hello@1layer.app. Response times and service levels are defined in your individual service agreement, if applicable.

9. Limitation of Liability

To the maximum extent permitted by applicable law, 1Layer shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of data, or business interruption, arising out of or in connection with your use of or inability to use the Service. Our total aggregate liability for any claim arising under these Terms shall not exceed the amounts paid by you to 1Layer in the three months preceding the claim.

10. Termination

Either party may terminate access to the Service by providing written notice. Upon termination, your right to use the Service ceases immediately. We will retain your data for a period of 30 days following termination, after which it will be securely deleted unless a longer retention period is required by law or agreed in writing.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated to you by email or via a notice within the Service. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
